Legal Counsel, Compliance and Corporate Secretary

The person who will assume this role will have the following main responsibilities:

Compliance

  • Develop and implement policies and procedures to ensure compliance with applicable laws and regulations, in particular with respect to Novacap’s status as an investment adviser registered with the Securities and Exchange Commission (SEC) in the United States;
  • Assist in the implementation of compliance policies and procedures within Novacap;
  • Ensure that Novacap’s policies and procedures are followed, and that documentation is adequate;
  • Review of certifications, title declarations and other compliance documents to be completed periodically by employees;
  • Assist in the development, implementation and continuous improvement of internal compliance processes;
  • Be responsible for filing the various compliance reports to be filed with the SEC and other regulatory authorities with the support of external legal counsel and external consultants;
  • Be responsible for monitoring Novacap’s compliance schedule;
  • Review of marketing materials to ensure compliance with applicable regulations;
  • Providing regular compliance notices;

Fundraising

  • Internal management of the work related to fund surveys involving Legal Affairs:
    • Review of offering documents prepared by external legal counsel (Private Placement Memorandum, Limited Partnership Agreements, Subscription Agreements);
    • Ensure the application of internal compliance policies in the context of fund raising by the various business units involved, particularly with respect to communications to potential investors;
    • Respond to investors’ due diligence questions on matters under the responsibility of Legal Affairs and ensure coordination among the various internal stakeholders involved in the investors’ due diligence processes;
  • Responsible for the Know Your Customer (“KYC”) / AML audit of Novacap’s investors and assisting the Chief Compliance Officer in improving internal procedures on these matters;
  • Manage the implementation of fund legal structures in consultation with external legal counsel;
  • Ensure, with the cooperation of external legal counsel, compliance with the laws relating to the solicitation of investors in the various applicable jurisdictions;

Corporate Secretariat

  • Ensure corporate management of the Novacap Entities, including the maintenance of corporate and regulatory documents, and coordinate the filing of required corporate and regulatory reports, in collaboration with external legal counsel;
  • Manage the Novacap Funds, including preserving the funds’ existence and complying with master limited partnership agreements;
  • Assist in investor relations management at Novacap, supporting the Investor Relations team;
  • Contribute to the implementation of best practices in governance;
  • Assisting, on a periodic basis and in collaboration with external legal counsel, in the completion of applicable regulatory filings in the context of portfolio company acquisitions and divestitures;
  • Assisting and assisting the various internal business units with any legal or business issues and other related tasks;

Position Requirements:  

  • An undergraduate degree in law or a related field;
  • 4-8 years of experience in business and / or compliance law;
  • Financial experience is considered an asset;
  • Compliance experience is considered an asset;
  • Proficiency in English and French, written and verbal;
